PreShiftIQ Data Product Terms

Version 1.0. Effective 2026-11-01. Companion to the Privacy Policy (Section 5A, aggregated and de-identified data).

These terms govern every data product PreShiftIQ delivers to a client: a report in the PreShiftIQ application, a downloaded file (PDF, spreadsheet, CSV or Parquet), a scheduled delivery by email, a file delivered to the Client's storage, a snapshot, a feed, a response from the PreShiftIQ data API, or a response from the PreShiftIQ MCP server. By buying, accepting or using a data product, the client agrees to these terms.

1. Parties and Scope

These terms are between PreShiftIQ, Inc., a Delaware corporation ("PreShiftIQ"), and the company that buys or receives a data product (the "Client"). A data product is the set of figures PreShiftIQ assigns to the Client's account, described on the Client's order or on the product's page in the application (the "Product").

2. The License

PreShiftIQ grants the Client a non-exclusive, non-transferable license, for the term of its order, to use the Product for the Client's own internal business purposes. Where the Product is an evaluation set, the Client may also use it to evaluate the Client's own systems or models. PreShiftIQ keeps every right not granted here, including all rights in the underlying data, the methods and the Platform.

3. What the Client May Not Do

The Client may not, and may not allow anyone else to:

  • identify, or attempt to identify, any person, buyer organization or vendor behind a figure, alone or by combining the Product with any other data, including by comparing Products, deliveries or time periods;
  • resell, sublicense, publish, redistribute or provide the Product, or any substantial part of it, to a third party without PreShiftIQ's prior written consent;
  • use the Product to build a competing data product or database;
  • remove or alter the stamp, the as-of date, the method note or the attribution a Product carries.

4. How the Figures Are Made

Every figure in a Product is an aggregate. No figure is shown for a group of fewer than five buyers, or fewer than five distinct vendor companies where the figure describes vendors. Where a figure describes vendors, an answer that every vendor in the group shares is not shown; a figure that describes buyers carries no such hold-back. A figure that falls below these minimums is held back, and the Product says how many were held back. For a group of twenty-five or fewer, a share may be shown without its count. No figure names a vendor or a buyer, and no figure compares one vendor's confidential responses with another's. Each figure states its as-of date and its method. Where a figure describes vendors and shows a count of five or more, PreShiftIQ checks it against PreShiftIQ's own earlier deliveries of the same figure to the Client, on every channel the Client receives it through: a report in the application, a downloaded file, an email, a file delivered to the Client's storage, a scheduled feed, the data API, and the MCP server, which serves the figures of the Client's latest feed. Any figure that, set against an earlier delivery, would let a group below these minimums be worked out by subtraction is held back, and the Product says how many were held back for that reason. A share shown without its count, and a count below five, carry no count that subtraction could expose and are not part of this check. A figure that describes buyers carries no such check on deliveries. A figure PreShiftIQ publishes outside a Product is checked against every earlier publication of the same figure.

5. The Client's Stamp

Each Product delivered to the Client is marked for that Client. A downloaded or delivered file carries the Client's name, the Product, the as-of date, the delivery's identifier and a code unique to the Client, in its document metadata where the format has metadata and in its footer or header rows where it has none. The order in which a Product lists figures of equal size is also specific to the Client. These marks identify the Client's copy if it is found outside the Client.

6. Price and Payment

The price of a Product, its currency and its billing period (monthly, annual, or a single payment for a one-time delivery) are those shown on the Client's order. Payment is made through PreShiftIQ's payment provider at checkout, or against PreShiftIQ's invoice where the order says so. A subscription renews at the end of each billing period, at the price it was bought at, unless the Client cancels before the period ends. If PreShiftIQ changes a Product's price for existing subscriptions, PreShiftIQ emails a notice of the change to the billing contact on the Client's order, and the new price takes effect only at a renewal at least 30 days after that notice; the Client may cancel before that renewal. A one-time purchase gives access for the period shown on the Client's order. Prices exclude taxes, which the Client pays where they apply. No price paid for a Product affects any match, score or recommendation PreShiftIQ makes, or any figure in any Product.

7. Term and Termination

An order runs for its billing period and renews as described in Section 6. Either party may end an order at the end of a billing period. PreShiftIQ may suspend or end an order at once if the Client breaches Section 3. When an order ends, the Client's license ends, its access to the Product in the application ends, and the Client deletes the Product's downloaded files within thirty days, except copies it must keep by law, which remain under Sections 2 and 3.

8. No Warranty

The Product describes the market as PreShiftIQ's platform records it at the as-of date. PreShiftIQ makes every figure with care, but the Product is provided as is, without any warranty that it is complete or suited to a particular decision. The Client is responsible for the decisions it makes with it.

9. Liability

Neither party is liable to the other for indirect, incidental or consequential damages. Each party's total liability under these terms is limited to the amounts the Client paid for the Product in the twelve months before the claim. These limits do not apply to a breach of Section 3.

10. Changes to These Terms

PreShiftIQ may revise these terms. The version and date at the top identify the current terms. A revision applies to an order from its next renewal.

11. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and any dispute arising from them is brought in the courts located in New Castle County, Delaware.

12. Entire Agreement

These terms, with the Client's order, are the entire agreement between the parties on their subject and supersede prior discussions about it.
